Why are teams/schools leaving the Big 12?

What is wrong with the Big 12? I thought it was a solid conference. Now the Pac 10 and Big 10 all want Big 12 teams with a likely trio of aTm, Texas, and Texas Tech possibly leaving together to join the Big 10. Why are teams/schools willing to abandon the Big 12?
